Terms of Service

1. Acceptance of These Terms

These Terms of Service ("Terms") form a binding agreement between you ("you" or "User") and Truepost, LLC, a [State] limited liability company ("Truepost," "we," "us," or "our"). They govern your access to and use of the Truepost email client, the websites at truepost.com and truepost.net, and any related software, mobile applications, and services we make available (collectively, the "Service").

By creating an account, connecting a third-party email account, downloading our app, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization and "you" refers to that organization.

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction, whichever is higher) to use the Service.

2. Description of the Service

Truepost is a multi-provider email client that connects to mailbox providers including Google (Gmail), Yahoo Mail, and Microsoft (Outlook) using OAuth2 and IMAP, and presents your email in a conversation- and group-oriented interface. Truepost does not itself provide an email mailbox or message delivery; it is a client for accessing mailboxes you already control.

3. Account Registration and Third-Party Authorization

  1. To use the Service, you will authorize Truepost to access one or more email accounts you own through the OAuth2 flow of the relevant provider (Google, Yahoo, or Microsoft) or, where applicable, by providing an app-specific password.
  2. You represent and warrant that (a) you own or are otherwise lawfully authorized to access each email account you connect, (b) connecting that account to Truepost does not violate any agreement you have with the provider or with any third party, and (c) the information you provide to us is accurate and current.
  3. You are responsible for safeguarding any credentials, devices, and OAuth tokens associated with your use of the Service, and for all activity that occurs under your account. Notify us promptly at legal@truepost.com of any suspected unauthorized access.
  4. You may disconnect any account at any time from within the Service or by revoking Truepost's access through your provider's security settings.

4. License to Use the Service

Subject to your compliance with these Terms, Truepost grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business email use. We may suspend or revoke this license at any time as described in these Terms.

You may not, and may not permit others to:

  • copy, modify, reverse engineer, decompile, or create derivative works of the Service except to the extent permitted by applicable law or by a separate open-source license that governs a particular component;
  • resell, sublicense, or commercially redistribute the Service;
  • circumvent any access, usage, or rate limits;
  • use the Service to build a competing product.

5. Acceptable Use

Your use of the Service is subject to our Acceptable Use Policy, available at truepost.com/aup.html, which is incorporated by reference into these Terms. In short, you may not use the Service to send spam, harass others, violate laws, infringe rights, or interfere with the integrity of the Service or any third-party provider. The AUP contains the full list of prohibited conduct.

6. Your Content; Email Data

  1. You own your email. As between you and Truepost, you retain all right, title, and interest in and to the email messages, attachments, contacts, calendar entries, and other content stored in or transmitted through the email accounts you connect ("User Content"). Truepost does not claim ownership of your User Content.
  2. Minimum necessary license. You grant Truepost only the limited, worldwide, royalty-free license needed to host, cache, transmit, display, parse, index, and otherwise process User Content for the sole purpose of operating, providing, securing, and improving the Service for you. This license terminates when you delete the relevant User Content from the Service or terminate your account, except for backups and logs retained for a commercially reasonable period and except as required by law.
  3. No advertising use. Truepost will not sell your User Content and will not use the contents of your email to target advertising to you.
  4. Your responsibility. You are solely responsible for your User Content and for ensuring you have the rights to process it through Truepost.

7. Fees, Billing, and Subscriptions

  1. Beta. During Truepost's beta period, the Service is provided free of charge. We may change beta pricing, eligibility, or feature availability at any time on notice to beta users.
  2. Plans. After general availability, Truepost expects to offer a Free tier, a Premium tier (currently planned at US$5/month), and an Enterprise tier (currently planned starting at US$50/month). Plan features and prices will be described at the point of purchase and are subject to change on notice.
  3. Auto-renewal. Paid subscriptions automatically renew for successive periods of the same length unless cancelled before the renewal date. You may cancel at any time from your account settings; cancellation takes effect at the end of the then-current billing period.
  4. Refunds. Except where required by law, fees are non-refundable. We may, in our discretion, prorate refunds for unused time on a paid plan when we terminate the Service for reasons other than your breach.
  5. Taxes. Fees do not include taxes. You are responsible for any applicable sales, use, VAT, or similar taxes.

8. Third-Party Services

The Service depends on third-party services and APIs operated by Google, Yahoo, Microsoft, and others. These third parties are not controlled by Truepost. We are not responsible for, and disclaim all liability arising out of, any outage, throttling, deprecation, policy change, security incident, data loss, or other act or omission of any third-party provider. Your use of a connected provider is also governed by that provider's own terms and privacy policy.

9. Beta Disclaimer

The Service is currently offered as a beta. Beta features may be incomplete, unstable, or insecure. Truepost makes no promise that the beta will be available, uninterrupted, error-free, or that any data you store, send, or process through it will be preserved. You may experience data loss, message duplication, missed messages, or other failures. There is no service-level commitment during beta. We may modify, suspend, or discontinue the beta, in whole or in part, at any time without notice. Do not rely on Truepost as your only means of accessing or backing up email during the beta period.

10. Intellectual Property

The Service, including its software, design, branding, trademarks, and documentation, is owned by Truepost and protected by intellectual property laws. Except for the limited license in Section 4, these Terms do not grant you any right, title, or interest in the Service. Certain components of the Service are made available under open-source licenses; those components are governed by their respective licenses, and nothing in these Terms limits your rights under those licenses. Feedback you provide is non-confidential, and you grant Truepost a perpetual, royalty-free license to use it for any purpose.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRUEPOST AND ITS SUPPLIERS AND LICENSORS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. TRUEPOST DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRUEPOST, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF TRUEPOST HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TRUEPOST'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO TRUEPOST FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). THE FOREGOING LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to defend, indemnify, and hold harmless Truepost and its affiliates and their officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) your User Content, (b) your breach of these Terms or the AUP, or (c) your violation of applicable law or the rights of any third party.

Truepost will defend, indemnify, and hold you harmless from and against any third-party claim alleging that the Service, as provided by Truepost and used in accordance with these Terms, infringes that third party's intellectual property rights, subject to standard conditions (prompt notice, sole control of defense, reasonable cooperation). The indemnities in this Section are each party's sole remedy and entire liability for the matters they cover.

14. Termination

  1. You may stop using the Service and delete your account at any time.
  2. We may suspend or terminate your access to the Service at any time, with or without notice, for any reason, including if we believe you have violated these Terms or the AUP, or if continuing to provide the Service to you exposes us to legal or security risk.
  3. On termination by Truepost other than for your material breach, we will, where commercially reasonable, provide a window of at least thirty (30) days during which you may export your data from the Service. After that window, we may delete data associated with your account, subject to our backup and legal retention obligations.
  4. Sections that by their nature should survive termination (including Sections 6, 10, 11, 12, 13, 14, 15, 16, and 17) will survive.

15. Governing Law

These Terms are governed by the laws of the State of [US state TBD — likely Delaware or California, to be decided at LLC formation], without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16. Dispute Resolution

17. Changes to These Terms

We may update these Terms from time to time. If we make a material change, we will provide reasonable advance notice (for example, by email to the address associated with your account or by an in-app notice) before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service before the effective date.

18. Miscellaneous

  1. Entire agreement. These Terms, together with the AUP and our Privacy Policy, are the entire agreement between you and Truepost regarding the Service and supersede any prior agreements on that subject.
  2. Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  3. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  4. Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, financing, or sale of assets.
  5. Force majeure. Neither party is liable for delays or failures caused by events beyond its reasonable control.
  6. Notices. We may send notices to you by email or in-app. You may send legal notices to Truepost at the contact below.
